Rules of the commission system and cooperation within the Affiliate Program

Introductory provisions

• These Affiliate Program Terms and Conditions (hereinafter referred to as "Terms and Conditions") set out the rules for the use of the system of commission codes, boxes and banners and regulate the mutual relations between the Operator and the Affiliate.

• The Operator is Commerce Media s.r.o., with registered office at Lovosická 711/30, Prague 9, 190 00, ID 01648454, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, Insert 209764.

• Any individual or legal entity that registers to the "Affiliate Program" on the portal www.emailkampane.cz in accordance with these Terms and Conditions becomes an Affiliate.

• The registration of the Affiliate shall take place by filling in and submitting the registration form for the "Affiliate Program" on the Operator's website www.emailkampane.cz. By completing and submitting the registration form, the Affiliate confirms that he/she unconditionally agrees to these Terms and Conditions and undertakes to comply with them, and further confirms that he/she is fully capable of legal transactions under the legislation of the Czech Republic and the EU.

• By completing and submitting the "Affiliate Program" registration form, the Affiliate and the Operator enter into a contractual relationship as defined in these Terms and Conditions.

"Affiliate Program Principle"

1. The principle of the "Affiliate Program" is the cooperation between the Partner and the Operator consisting in intermediary activities, where the Partner offers the Operator's services to third party end customers. The Partner is entitled to a commission for a successfully completed business opportunity, the definition of which is set out in Article 5 of these Terms and Conditions.

The Partner expressly undertakes not to place a link or banner pointing to the Operator's site on "link farms", which are defined as such web portals that engage in the mass distribution of advertising. In the event of a breach of this provision, the Partner acknowledges that he/she is not entitled to a commission even if the business activity related to the placement of a link or banner on such web portals is successfully completed and further undertakes to reimburse the Operator for all damages and lost profits caused by the banning (blocking) of his/her website by search engines, including lost profits.
5. The Operator shall not be held liable for the content of the Partner's website or for any actions related to the Partner's business activities.

Amount of commission and payment thereof

1. The Partner shall be entitled to a commission in the event of a successfully completed business activity, which shall be understood as a situation where an end customer - a third party who visits the Operator's website as a result of the Partner's demonstrable involvement, as exemplified in Article 4, paragraph 2 of these Terms and Conditions, orders the Operator's goods or services and pays for them properly. The goods and services referred to in the preceding sentence of this Article of the Terms and Conditions are those listed on the Operator's website www.emailkampane.cz in the "Price List" section under "Flat Rate Account" and "Credit Account". If the End Customer - third party - withdraws from this Agreement within 14 days from the date of conclusion of his/her contract with the Operator or otherwise cancels the order, the Partner's commission will be deducted from his/her account again.

The amount of the Partner's commission is set at an amount of 20 ℅ of the price of the service or goods (Flat Rate Account, Credit Account), excluding VAT and transport charges, ordered and paid by the End Customer - Third Party - as this price is indicated on the Partner's website. Other commission amounts are possible upon agreement between the Operator and the Partner.
3. The Partner shall not be entitled to a commission if the end customer orders and pays for goods or services at a different price than the one listed in the "Price List" section of the Operator's website under the title "Flat Rate Account" and "Credit Account".
4. The current amount of the commission will always be indicated in the Partner's account in the administration of the commission system, which is available after logging into this account.
5. The Operator will pay the commission within 30 days from the date of receipt of the Partner's written request, provided that the amount of the Partner's commission is at least CZK 1,000. The Operator shall further have the option to pay the Partner any amount of commission at any time at its sole discretion. The commission shall be sent to the Affiliate in cash on the basis of an invoice sent to the bank account indicated by the Affiliate when registering for the "Affiliate Program".
6. The Operator reserves the right not to pay the commission in case the Affiliate has violated any of the provisions of the Terms and Conditions.

Termination of cooperation and other arrangements

1. The contract is concluded for an indefinite period of time.
2. Both the Operator and the Partner have the right to terminate the cooperation at any time without giving any reason.
3. The Operator is entitled to amend the Terms and Conditions and the amount of the commission at any time. The Operator undertakes to publish the new version of the Terms and Conditions on the website www.emailkampane.cz at least 14 days prior to their planned effective date, as well as in the Administration of the commission system.
